Terms of Service & Licence Agreement

Please read and accept before accessing Ashcloud IQ — Version 1.0 · Effective 24 June 2026

1. Intellectual Property

The Ashcloud IQ platform, including all software, AI workflows, prompt structures, algorithms, designs, and templates, is the exclusive intellectual property of Ashcloud. The names Ashcloud and Ashcloud IQ are proprietary trademarks. All rights reserved.

2. Permitted Use & Restrictions

You are granted a limited, non-transferable licence to use the Platform for your hotel’s internal sales operations only. You must not:

• Reverse-engineer, decompile, or attempt to extract the source code or AI prompt structures;
• Scrape or systematically extract data, AI outputs, or workflow logic;
• Sub-licence, resell, or use the Platform to build a competing product;
• Attempt to access another property’s data.

3. Confidentiality of AI Workflows

The AI prompt architecture and system instructions are confidential trade secrets. You agree not to extract, document, or disclose these to any third party.

4. Data Ownership

Your client data remains yours. Ashcloud retains IP rights in the structure and methodology of all AI-generated outputs. Your data is never used to train AI models.

5. Tenant Isolation

Your account operates in strict data isolation. Attempting to access another property’s data is a material breach and may result in immediate termination and legal action.

6. Liability & Governing Law

Ashcloud’s liability is limited to subscription fees paid in the prior 3 months. These Terms are governed by New Zealand law. Read the full Terms of Service →

Here is what Ashcloud does and does not do with your hotel data:

• We store your quotes, pricing, hotel settings, and user accounts in a secure database. This is what makes the platform work.
• We do not train any AI model on your data. Ash is powered by the Anthropic API. Each conversation is processed in real time and not retained by Anthropic under their standard API terms.
• We do not sell or share your hotel data with third parties.
• Your data is isolated — each hotel only ever sees its own quotes, pricing, and team.
