Terms of Service & End User Licence Agreement

1. Acceptance of Terms

By accessing or using the Ashcloud IQ platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you and Ashcloud (“we”, “us”, “our”).

2. Intellectual Property

The Platform, including all software, source code, AI workflows, prompt structures, algorithms, user interface designs, data models, templates, and documentation, is the exclusive intellectual property of Ashcloud. All rights are reserved.

The name Ashcloud and the platform name Ashcloud IQ are proprietary trademarks of Ashcloud. Unauthorised use of these names in any context is strictly prohibited.

Nothing in these Terms grants you any ownership interest in the Platform or its underlying technology.

3. Permitted Use & Restrictions

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your hotel or hospitality business’s internal quoting and sales operations.

4. Confidentiality of AI Workflows

The AI prompt architecture, system instructions, and workflow logic embedded in the Platform constitute confidential trade secrets of Ashcloud. You acknowledge that these constitute valuable proprietary information and agree to maintain strict confidentiality. You will not attempt to extract, document, reproduce, or disclose these structures to any third party.

5. Data Ownership

Your data: All client data, event details, and pricing information you enter into the Platform remains your property. You grant Ashcloud a limited licence to process this data solely to provide the Platform services to you.

Our data: All AI-generated content, templates, output formatting, and platform-generated proposals are produced using Ashcloud’s proprietary systems. Ashcloud retains intellectual property rights in the structure, format, and methodology of all generated outputs.

No AI training: Your data is not used to train any AI model. The Platform is powered by the Anthropic API; conversations are processed in real time and are not retained by Anthropic under their standard API terms.

6. Tenant Data Isolation

Each property account operates in strict data isolation. You may not access, view, or interact with another property’s quotes, client data, pricing, or event records. Any attempt to do so constitutes a material breach of these Terms and may result in immediate account termination and legal action.

7. Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify us of any unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your credentials.

8. Subscription & Payment

Access to the Platform is subject to an active subscription. Subscription fees are as set out in your agreed plan. We reserve the right to modify pricing with 30 days’ written notice. Failure to pay may result in suspension of access.

9. Limitation of Liability

To the maximum extent permitted by New Zealand law, Ashcloud’s total liability to you for any claim arising from these Terms or use of the Platform shall not exceed the total subscription fees paid by you in the three months preceding the claim. We are not liable for indirect, consequential, or special losses of any kind.

10. Termination

We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Platform ceases immediately. You may export your data within 30 days of termination; thereafter we may delete it.

11. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform. Your continued use after the effective date of any update constitutes acceptance of the revised Terms.
